BIIDIT Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between BIIDIT, Inc. and its affiliates (“BIIDIT,” “we,” “us,” or “our”) and the person or entity that accesses or uses the Platform (“you” or “your”). These Terms govern your access to and use of BIIDIT’s websites, mobile applications, web applications, software, APIs, communications tools, AI systems, marketplaces, property-intelligence tools, enterprise tools, analytics tools, automation tools, and related products and services (collectively, the “Platform”).

By accessing or using the Platform, clicking to accept these Terms, creating an account, uploading content, submitting or reviewing a project, submitting a bid, subscribing to a paid service, enabling an integration, using an API, or otherwise using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

If you use the Platform on behalf of a business, contractor business, property owner, property manager, homeowners’ association, enterprise, trust, estate, or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” includes that organization.

1. Definitions

For purposes of these Terms:

Any output, response, summary, classification, recommendation, transcription, translation, extraction, score, tag, label, readiness assessment, ranking, signal, prediction, or other output generated, assisted, or structured by BIIDIT AI.

BIIDIT AI

Mike and any current or future artificial-intelligence, machine-learning, automation, classification, transcription, translation, summarization, extraction, recommendation, moderation, fraud-detection, trust-and-safety, analytics, prediction, optimization, orchestration, workflow, or related technologies used by BIIDIT or its service providers.

BIIDIT Knowledge Assets

As between you and BIIDIT, BIIDIT’s legally protectable rights and interests in derived, inferred, generated, compiled, learned, organized, system-level, or structured information, assets, and intelligence, including insights, analyses, labels, tags, BIIDIT-generated metadata, embeddings, classifications, taxonomies, ontologies, schemas, knowledge graphs, graph relationships, benchmarks, scores, rankings, signals, analytics, reports, statistics, models, improvements, synthetic data, aggregated data, de-identified data, anonymized data, risk indicators, fraud indicators, trust-and-safety indicators, readiness indicators, marketplace intelligence, property intelligence, contractor intelligence, cost intelligence, repair patterns, maintenance patterns, failure patterns, category intelligence, feedback signals, human-review signals, model-evaluation data, reinforcement-learning signals, training pipelines, reasoning pipelines, prompt workflows, orchestration logic, and other know-how or assets generated, inferred, derived, compiled, organized, or learned by BIIDIT from operation of the Platform, processing of User Content under these Terms, user interactions, marketplace activity, AI systems, service providers, public sources, IoT or device data, or other permitted sources, excluding your ownership of original User Content.

BIIDIT Technology

The Platform and all software, code, algorithms, interfaces, APIs, databases, compilations, designs, workflows, prompts, prompt libraries, prompt chains, system instructions, orchestration layers, reasoning pipelines, agent frameworks, model-routing logic, classifications, taxonomies, ontologies, schemas, matching logic, readiness logic, ranking systems, fraud-detection systems, trust-and-safety systems, moderation systems, analytics systems, dashboards, documentation, and all improvements, modifications, and derivative works of the foregoing.

Contractor

Any user that accesses, reviews, responds to, bids on, schedules, prices, or performs services relating to a homeowner project, whether as an individual, business, subcontractor, enterprise, or other entity.

Contractor Activation

BIIDIT’s process for determining whether and on what terms a Contractor may receive homeowner contact information, access particular Platform features, participate in certain workflows, receive leads, or otherwise continue in a project flow.

Derived Intelligence

Information, inferences, analyses, correlations, predictions, patterns, signals, scores, or structured learnings created, inferred, generated, or compiled by BIIDIT from User Content, AI processing, marketplace activity, property records, feedback, human review, public data, device data, or other permitted sources.

Digital Property Profile / Digital Twin / Property Graph

Any digital or data-based representation, profile, history, model, graph, timeline, structured record, intelligence layer, or similar digital representation of a property, property systems, property components, project history, maintenance history, records, relationships, or conditions created, maintained, enhanced, or used by BIIDIT.

Homeowner

Any user that submits, uploads, publishes, requests, evaluates, or manages a project, property, property record, or property-related request through the Platform.

Mike

BIIDIT’s current AI Project Advisor. References to Mike include any successor, replacement, extension, supplemental, or rebranded BIIDIT AI system unless the context requires otherwise.

Platform

Has the meaning set forth in the preamble to these Terms.

Property Profile

Any property-level record, history, graph, timeline, repository, digital twin, digital property profile, or intelligence record created, maintained, enhanced, or used through the Platform.

User Content

The original content and information you submit, upload, transmit, post, display, record, store, send, receive, or otherwise make available through the Platform, including videos, photos, audio recordings, documents, contracts, permits, invoices, warranties, inspection reports, messages, bids, reviews, project descriptions, property information, and profile information.

2. Scope; Acceptance; Eligibility

2.1 Acceptance

These Terms govern your use of the Platform and any related services, features, communications, paid offerings, APIs, enterprise tools, AI systems, property-intelligence services, commercial intelligence products, and future BIIDIT offerings, unless BIIDIT provides separate supplemental terms for a specific service. Any such supplemental terms are incorporated into these Terms by reference unless they expressly state otherwise.

2.2 Eligibility

You may use the Platform only if:

If you use the Platform on behalf of a business or other entity, you represent and warrant that you are authorized to bind that entity and that the entity accepts responsibility for your use of the Platform and all activity under its account or accounts.

2.4 Updates to Eligibility Information

You must promptly update your information if it changes. BIIDIT may refuse access, suspend use, restrict features, geofence availability, or terminate accounts if BIIDIT reasonably believes any eligibility, identity, sanctions, export-control, compliance, authority, fraud, or trust-and-safety concern exists.

3. BIIDIT’s Role as a Technology Platform

3.1 Platform Role

BIIDIT provides software, marketplace, communications, AI-assisted project intake, project organization, contractor discovery, preliminary bidding, property intelligence, data processing, and related technology tools.

3.2 What BIIDIT Is Not

BIIDIT is not:

BIIDIT does not perform, supervise, direct, control, inspect, warrant, guarantee, finance, insure, underwrite, or assume responsibility for any construction, repair, remodeling, maintenance, inspection, design, permitting, code compliance, pricing, scheduling, negotiation, payment, warranty, workmanship, safety, or other services requested, bid on, offered, or performed by users.

3.4 User-to-User Agreements

Any contract, proposal, quote, change order, deposit arrangement, invoice, warranty, service agreement, financing arrangement, insurance arrangement, or other arrangement between a Homeowner and a Contractor, insurer, lender, warranty provider, or other third party is solely between those parties. BIIDIT is not a party to, beneficiary of, or guarantor of any such arrangement unless BIIDIT expressly states otherwise in a separate written agreement.

4. The Platform; Current and Future Services

4.1 Current Functionality

BIIDIT currently provides technology tools that help Homeowners explain projects using AI-assisted tools and help Contractors review project information and submit preliminary bids before a site visit.

4.2 Future Evolution

BIIDIT may expand, modify, replace, supplement, or discontinue the Platform and any feature, service, workflow, product, AI system, business model, revenue model, interface, deployment method, integration, infrastructure component, dependency, or technology stack at any time.

Without limitation, BIIDIT may develop or offer:

4.3 Automatic Extension of Rights

To the fullest extent permitted by applicable law, all rights, licenses, permissions, consents, protections, restrictions, disclaimers, limitations, waivers, and reservations in these Terms apply to BIIDIT’s current and future products and services, whether or not specifically described in these Terms.

5. Accounts; Registration; Security

5.1 Account Creation

Certain features require an account. You must provide accurate, complete, and current information and keep it updated.

5.2 Credentials and Security

You are responsible for:

You may not sell, transfer, rent, share, or lend your account, or allow unauthorized persons to access it, except as expressly permitted for enterprise or organizational use under these Terms or supplemental written terms.

5.4 Verification and Re-Verification

BIIDIT may request, verify, re-verify, reject, or revoke information relating to identity, business status, licensing, insurance, payments, tax status, sanctions, export-control compliance, fraud risk, contact information, or other compliance matters. Verification may be performed by BIIDIT or third parties and may be incomplete, delayed, limited, inaccurate, or later revoked.

6. Mike AI Project Advisor and BIIDIT AI

6.1 Mike’s Function

Mike is BIIDIT’s AI Project Advisor. Mike is not a general-advice chatbot and is not a contractor, estimator, project manager, architect, engineer, inspector, insurer, financing adviser, lender, attorney, or other professional adviser.

Mike’s role is limited to collecting, organizing, and presenting project-related information so users can operate within the Platform and Contractors can evaluate opportunities and submit informed preliminary bids.

6.2 AI Processing and Outputs

BIIDIT AI may analyze videos, photos, audio recordings, documents, messages, text, project information, property information, public and third-party data, device data, and other inputs to generate or assist with:

6.3 Future AI Systems; Vendor-Neutral Architecture

BIIDIT may introduce, retire, rename, replace, combine, route among, self-host, externally host, fine-tune, or otherwise use AI systems, agents, models, providers, architectures, infrastructures, workflows, orchestration methods, tools, or vendors at any time. No user has any right to require BIIDIT to use or continue using any specific AI system, model, provider, architecture, infrastructure, workflow engine, or vendor.

6.4 No Professional Advice

BIIDIT AI, including Mike and any current or future maintenance, insurance, warranty, permit, contractor, commercial, scheduling, purchasing, negotiation, cost-analysis, property-intelligence, underwriting-support, financing-support, lending-support, eligibility-support, qualification-support, or other AI feature, is informational and assistive only. BIIDIT AI does not provide legal, tax, accounting, insurance, brokerage, lending, financing, underwriting, architectural, engineering, inspection, appraisal, valuation, construction, code-compliance, safety, medical, or other regulated or professional advice.

6.5 AI Limitations

AI Outputs may be incomplete, inaccurate, outdated, misclassified, biased, unclear, hallucinated, incorrectly summarized, incorrectly transcribed, incorrectly translated, based on incomplete, poor-quality, manipulated, or misleading inputs, or otherwise unreliable. AI Outputs may omit relevant facts, miss visible or hidden defects, fail to identify hazards, fail to identify permit or code issues, misread documents, misinterpret images or audio, generate incorrect classifications, produce incomplete analyses, or generate inaccurate recommendations, estimates, risk scores, or property insights.

6.6 User Responsibility for Review

You are solely responsible for reviewing, correcting, supplementing, and independently verifying any AI Output before relying on it, sharing it, acting on it, or using it in any legal, financial, insurance, lending, permit, construction, maintenance, negotiation, contractor-selection, safety, compliance, or property-related decision.

6.7 Successor Technologies

All protections, disclaimers, reservations, restrictions, and rights applicable to Mike and BIIDIT AI also apply to any current or future successor, replacement, extension, rebranded, integrated, embedded, white-label, enterprise, API-based, workflow-driven, internally hosted, externally hosted, third-party powered, proprietary, open-source, hybrid, or otherwise architected BIIDIT technology, regardless of name, branding, interface, provider, architecture, or deployment method.

7. User Content; BIIDIT Technology; BIIDIT Knowledge Assets

7.1 User Ownership of Original User Content

As between you and BIIDIT, you retain ownership of your original User Content, including your original videos, photos, audio recordings, documents, contracts, permits, warranties, invoices, inspection reports, messages, bids, reviews, and other original content that you submit or make available through the Platform.

7.2 BIIDIT Technology

As between you and BIIDIT, BIIDIT owns all right, title, and interest in and to BIIDIT Technology, excluding User Content owned by users.

7.3 Distinction Between User Content and BIIDIT Knowledge Assets

User Content is not the same as BIIDIT Knowledge Assets. For clarity:

7.4 BIIDIT Knowledge Assets

As between you and BIIDIT, BIIDIT owns or otherwise retains all legally protectable rights and interests in BIIDIT Knowledge Assets, excluding your ownership of original User Content. BIIDIT Knowledge Assets may include:

To the extent any BIIDIT Knowledge Asset, AI Output, derived information, recommendation, classification, metadata element, fact pattern, dataset, digital representation, benchmark, analysis, graph relationship, or other asset is not capable of ownership or exclusive protection under applicable law, BIIDIT retains, and you grant BIIDIT, the fullest rights permitted by law and contract to create, retain, use, process, analyze, modify, improve, combine, commercialize, distribute, license, sublicense, display, perform, store, transmit, disclose, train on, and otherwise exploit it for any lawful purpose, subject to the Privacy Policy and applicable law.

8. License to User Content

8.1 License Grant

You grant BIIDIT and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, irrevocable, and perpetual license, to the fullest extent permitted by applicable law, to host, store, cache, copy, reproduce, display, perform, transmit, distribute, communicate, process, analyze, summarize, transcribe, translate, classify, tag, index, extract information and metadata from, moderate, redact, modify, adapt, create derivative works from, back up, archive, recover, combine, commercialize, and otherwise use User Content for any lawful purpose related to:

8.2 User Representations Regarding User Content

You represent and warrant that you have all rights, licenses, permissions, notices, consents, and authority necessary for BIIDIT to use User Content as described in these Terms and the Privacy Policy, including for AI processing, training, evaluation, product development, analytics, property intelligence, and commercial intelligence purposes.

8.3 Moral Rights

To the fullest extent permitted by law, you waive and agree not to assert against BIIDIT, its affiliates, service providers, sublicensees, successors, or assigns any moral rights, attribution rights, integrity rights, or similar rights in User Content in connection with uses permitted by these Terms. Where waiver is not permitted, you agree not to assert such rights in a manner that interferes with BIIDIT’s permitted use of User Content.

8.4 Duration

The license in this Article continues for as long as reasonably necessary for the permitted purposes above, including after account deletion, content removal, property transfer, account deactivation, or product discontinuation where retention or continued use is permitted or required for backups, archives, legal compliance, disputes, fraud prevention, security, de-identified or aggregated uses, model improvement, product development, litigation holds, insurance claims, law-enforcement requests, regulatory obligations, or other legitimate purposes.

8.5 Successors and Corporate Transactions

All licenses, permissions, consents, waivers, and rights granted to BIIDIT under these Terms are granted for the benefit of BIIDIT and its affiliates, service providers, contractors, sublicensees, successors, assigns, acquirers, surviving entities, reorganized entities, and transferees of any relevant business, assets, equity, products, services, technology, data, or operations, and survive any merger, acquisition, financing, reorganization, bankruptcy, asset sale, change of control, or other corporate transaction.

9. AI Outputs; User Rights; BIIDIT Reservation of Rights

9.1 User Use of AI Outputs

Subject to these Terms, BIIDIT may permit you to use AI Outputs made available to you through the Platform for your personal, internal business, project-evaluation, property-management, marketplace, or other permitted Platform purposes.

9.2 Reservation of Rights

BIIDIT does not transfer ownership of:

AI Outputs may be similar or identical across users, properties, projects, contractors, enterprises, or partners. You receive no exclusive rights in any AI Output, recommendation, classification, benchmark, workflow, template, summary, or insight unless BIIDIT expressly agrees otherwise in a separate written agreement.

9.4 Restrictions on Use of AI Outputs and Platform Materials

You may not use AI Outputs, User Content accessed through the Platform, BIIDIT Knowledge Assets, or related Platform materials to:

You may not use manual or automated means to extract, harvest, record, scrape, query, benchmark, reconstruct, approximate, or replicate BIIDIT AI, AI Outputs, prompts, workflows, reasoning pipelines, embeddings, classifications, scores, rankings, datasets, or other BIIDIT Knowledge Assets. You may not use repeated or systematic queries to infer BIIDIT’s models, prompts, taxonomies, algorithms, pricing intelligence, risk scores, or marketplace logic.

10. Property Profiles; Property Intelligence; Multi-Contributor Records

10.1 Property Profiles, Digital Property Profiles, Digital Twins, and Property Graphs

BIIDIT may create, maintain, update, enhance, analyze, commercialize, and use Property Profiles, Digital Property Profiles, Digital Twins, Property Graphs, property timelines, property histories, document repositories, project records, contractor histories, permit histories, inspection histories, maintenance records, warranty records, insurance-related records, financing-related records, IoT and sensor-derived records, AI recommendations, predictive-maintenance signals, and related property-intelligence records.

10.2 Multiple Sources and Contributors

Property Profiles may include information submitted by or derived from multiple users or permitted sources over time, including homeowners, contractors, co-owners, property managers, HOAs, condominium associations, portfolio administrators, insurers, lenders, service providers, public records, connected devices, IoT systems, utilities, imagery sources, and BIIDIT AI.

10.3 BIIDIT Rights in Property Profile Structure and Intelligence

User ownership of particular User Content does not transfer ownership of BIIDIT’s Property Profile structures, graph relationships, classifications, metadata, analytics, system logic, BIIDIT Knowledge Assets, or other Derived Intelligence.

10.4 Property Access, Authority, Transfers, and Disputes

BIIDIT may establish verification, authorization, documentation, administrative, and workflow requirements for access to, contribution to, export of, deletion of, transfer of, or administrative control over Property Profiles, Property Graphs, Digital Property Profiles, Digital Twins, property timelines, property histories, and related Property Intelligence.

BIIDIT may request documents or other evidence relating to ownership, occupancy, management authority, agency authority, estate authority, trust authority, corporate authority, HOA or condominium authority, property-manager authority, insurer or lender authority, or other claimed rights.

BIIDIT may deny, delay, suspend, restrict, revoke, freeze, condition, or refuse access, transfers, exports, deletions, administrative changes, or contributor permissions where BIIDIT cannot verify authority, receives conflicting claims, detects fraud or abuse, identifies safety, privacy, legal, security, contractual, or marketplace-integrity concerns, or determines that a request may affect another person’s rights. This may include disputes involving current or former owners, co-owners, spouses, former spouses, domestic partners, heirs, beneficiaries, trustees, executors, administrators, guardians, tenants, landlords, property managers, HOAs, condominium associations, lenders, insurers, enterprises, contractors, or other parties.

BIIDIT does not adjudicate property ownership, marital rights, inheritance rights, estate rights, trust rights, HOA rights, lease rights, lien rights, agency rights, or other legal disputes, and BIIDIT may require users to resolve such disputes through appropriate legal channels before BIIDIT takes action.

10.5 No Duty to Guarantee Accuracy

Property Profiles, property histories, recommendations, records, and intelligence may be incomplete, inaccurate, outdated, duplicated, inferred, AI-generated, user-submitted, or sourced from third parties. BIIDIT does not guarantee their accuracy, completeness, current status, or legal sufficiency.

11. Projects; Readiness; Preliminary Bids

11.1 Project Flow

The Platform may support a workflow in which a Homeowner uploads project information, BIIDIT AI analyzes that information, follow-up questions are asked, a project is marked ready, the project is published, eligible Contractors submit preliminary bids, the Homeowner compares bids, the Homeowner may choose a Contractor, and Contractor Activation requirements may then apply before certain contact information or features become available.

11.2 Readiness and Publication

Readiness indicators, project quality scores, publication statuses, or risk signals are informational and operational tools only. They are not guarantees that a project is complete, properly scoped, code-compliant, lawful, safe, suitable for bidding, or suitable for contracting.

11.3 Preliminary Nature of Bids

Projects, AI Outputs, and bids are preliminary and informational only. Preliminary bids may be incomplete, conditional, inaccurate, or subject to change after inspection, measurement, permitting review, code review, material selection, change orders, scheduling review, direct communication, negotiation, insurance review, financing review, or other due diligence.

11.4 No BIIDIT Endorsement of Bids or Scope

BIIDIT does not create, validate, endorse, guarantee, warrant, underwrite, or assume responsibility for any project information, AI Output, bid, estimate, price, scope, schedule, permit requirement, warranty term, recommendation, or project outcome.

12. Communications; Contact Controls; Anti-Circumvention

12.1 Communications Tools

BIIDIT may provide in-app messaging, masked communications, email, SMS, push notifications, AI-assisted communications, and other tools.

12.2 Contact Controls

BIIDIT may control, monitor, filter, delay, block, redact, remove, or restrict communications, attachments, images, videos, audio, documents, metadata, or other materials to operate the Platform, enforce Contractor Activation, protect users, prevent fraud, comply with law, preserve marketplace integrity, support monetization, or maintain workflow controls.

12.3 Hidden Contact Information

Before applicable Platform requirements are satisfied, BIIDIT may hide, redact, restrict, or prevent disclosure of phone numbers, email addresses, physical addresses, URLs, websites, QR codes, social-media handles, usernames, payment details, direct payment links, or other identifying or contact information.

12.4 Anti-Circumvention

You may not use the Platform, User Content, AI Outputs, project materials, bids, reviews, profiles, images, audio, documents, metadata, communications, third-party tools, external websites, coded messages, indirect signals, or any other method to bypass, avoid, interfere with, or undermine BIIDIT’s activation requirements, contact-release controls, subscriptions, lead fees, payment systems, monetization systems, trust-and-safety systems, rankings, or marketplace rules.

12.5 Enforcement

BIIDIT may use AI, automation, human review, third-party services, and other technologies to detect, block, investigate, and enforce against suspected circumvention.

13. Verification; Reviews; Ratings

13.1 Verification

BIIDIT may offer badges, labels, status markers, or similar indicators relating to verification, identity, business information, licenses, insurance, eligibility, responsiveness, account standing, or trust-and-safety review.

13.2 Verification Is Limited

Any verification badge or similar indicator means only that BIIDIT or its service providers reviewed certain information at a particular point in time using selected criteria and available sources. Verification may be incomplete, inaccurate, delayed, outdated, limited, changed, suspended, or revoked.

13.3 No Guarantee

Verification is not a guarantee, warranty, endorsement, recommendation, certification, insurance confirmation, license confirmation, safety assurance, or promise of future performance.

13.4 Reviews and Ratings

Users may submit reviews, ratings, endorsements, comments, or other marketplace feedback only if truthful, based on genuine experiences, and not fake, manipulated, misleading, retaliatory, defamatory, discriminatory, or otherwise improper.

13.5 BIIDIT Moderation Rights

BIIDIT may screen, investigate, delay, suppress, remove, refuse to publish, rank, label, or otherwise moderate reviews, ratings, and feedback. BIIDIT does not endorse or guarantee user reviews or ratings.

14. Paid Services; Subscriptions; Lead Fees; Future Monetization

14.1 Paid and Free Services

The Platform may include free services, paid services, subscriptions, lead fees, activation fees, premium memberships, featured placement, promoted visibility, advertising products, analytics products, AI products, APIs, enterprise products, portfolio products, licensing products, data products, and other current or future monetization models.

14.2 Product-Specific Terms

Pricing, billing periods, usage limits, renewal terms, cancellation terms, refund terms, taxes, eligibility requirements, lead fees, payment schedules, and related conditions may be disclosed on the Platform, at checkout, in an order form, or in supplemental terms.

14.3 Payment Authorization

By purchasing or using a paid service, you authorize BIIDIT and its payment processors to charge your selected payment method for all applicable fees, taxes, renewals, overages, and other amounts owed.

14.4 No Guaranteed Results

Unless BIIDIT expressly states otherwise in writing or applicable law requires otherwise, fees are non-refundable and are not contingent on:

BIIDIT may suspend, restrict, downgrade, or terminate access to paid services, subscriptions, APIs, leads, contact information, features, or accounts for nonpayment, failed payment, chargeback, suspected fraud, or violation of applicable terms.

14.6 Changes to Pricing

BIIDIT may change pricing, packaging, features, functionality, or monetization models at any time, subject to applicable law and any product-specific commitments BIIDIT expressly makes in writing.

15. APIs; Integrations; Developer Use

15.1 APIs and Developer Features

If BIIDIT offers APIs, integrations, webhooks, analytics exports, developer tools, embedded tools, or similar features, access is subject to any documentation, technical requirements, rate limits, credentials, usage policies, and supplemental terms BIIDIT provides.

You may not:

BIIDIT may monitor, restrict, throttle, suspend, rotate credentials, disable, or terminate API or integration access at any time for security, compliance, legal, operational, payment, or business reasons.

16. Enterprise; Portfolio; Organizational Accounts

16.1 Organizational Use

BIIDIT may offer business, enterprise, portfolio, property-manager, HOA, condominium, contractor-network, insurer, lender, commercial, or other organizational accounts.

16.2 Administrators

BIIDIT may rely on instructions from account administrators or other authorized representatives and is not responsible for disputes between an organization and its users, employees, contractors, representatives, property owners, tenants, or other participants.

17. Acceptable Use; Community Rules; Prohibited Conduct

You may not, directly or indirectly:

18.1 Fraud Prevention

BIIDIT may use AI, automation, human review, third-party services, device signals, payment signals, communications analysis, metadata, public data, and other current or future methods to detect, prevent, investigate, and respond to fake projects, fake contractors, fake homeowners, identity fraud, licensing fraud, payment fraud, bid manipulation, review manipulation, spam, abuse, circumvention, and other risks.

18.2 Trust-and-Safety Controls

BIIDIT may use trust-and-safety systems and risk assessments to manage account creation, verification, publication, ranking, visibility, Contractor Activation, contact-release eligibility, paid services, APIs, communications, and Platform access.

18.3 Moderation

BIIDIT may, but is not required to, monitor, review, flag, label, delay, redact, remove, suppress, or refuse to publish User Content, AI Outputs, reviews, bids, or communications.

18.4 No Duty to Monitor

BIIDIT is not obligated to monitor the Platform or user conduct and does not assume responsibility for user behavior by undertaking moderation, verification, or enforcement activity.

19. Intellectual Property; Confidential Information; Trade Secrets

19.1 Ownership

Except for User Content owned by users and except as expressly stated otherwise, BIIDIT and its licensors own all right, title, and interest in and to BIIDIT Technology and BIIDIT Knowledge Assets.

19.2 Confidential and Trade Secret Materials

Non-public aspects of the Platform, BIIDIT AI, BIIDIT Technology, BIIDIT Knowledge Assets, prompts, workflows, reasoning pipelines, model evaluations, datasets, benchmarks, analytics, dashboards, pricing, roadmaps, technical materials, architecture, orchestration, model-routing logic, and security systems may constitute BIIDIT confidential information and trade secrets.

19.3 Restrictions

You may not disclose, reproduce, reverse engineer, benchmark, export, scrape, train on, mine, or use BIIDIT confidential information or trade secrets except as expressly authorized in writing by BIIDIT.

19.4 Feedback

If you provide suggestions, ideas, feature requests, comments, corrections, or other feedback, BIIDIT may use them without restriction, attribution, or compensation. BIIDIT owns all improvements, learnings, or BIIDIT Knowledge Assets derived from or informed by such feedback, excluding your ownership of any original User Content embodied in that feedback.

19.5 Reservation of Rights

No rights are granted by implication, estoppel, exhaustion, or otherwise except as expressly stated in these Terms. BIIDIT reserves all rights not expressly granted, including patent, copyright, trademark, trade-secret, database, and other proprietary rights.

20. Copyright; DMCA; IP Complaints; Repeat Infringers

20.1 Respect for Rights

You may not upload, post, share, or otherwise make available content that infringes, misappropriates, or violates any intellectual property or proprietary right.

20.2 Complaints

BIIDIT may provide a process for copyright, DMCA, trademark, or other intellectual property complaints through contact information or workflows published on the Platform. Complaints should include sufficient information for BIIDIT to identify the allegedly infringing material, the basis of the claim, and the complaining party’s contact information.

20.3 Response

BIIDIT may remove, disable access to, investigate, preserve, or otherwise act on allegedly infringing material or accounts.

20.4 Repeat Infringers

BIIDIT may suspend or terminate repeat infringers or users that repeatedly submit unauthorized content.

21. Additional Terms for Homeowners

If you use the Platform as a Homeowner, the following additional terms apply.

21.1 Accuracy and Legality of Project Information

You are solely responsible for the accuracy, completeness, legality, and safety of all project information and User Content you submit.

21.2 Rights and Permissions

You represent and warrant that you have all property rights, access rights, recording consents, privacy rights, intellectual property rights, notices, permissions, and authority necessary to upload, record, disclose, and share videos, photos, audio, documents, contracts, permits, invoices, warranties, inspection reports, messages, and property information through the Platform.

21.3 Contractor Selection and Due Diligence

You are solely responsible for evaluating Contractors, verifying licenses, insurance, bonding, references, qualifications, permits, pricing, scope, schedule, warranties, contract terms, and suitability.

21.4 Contracts and Payments

You are solely responsible for negotiating, entering into, and performing any agreement with a Contractor, including deposits, milestones, payments, change orders, warranties, and dispute resolution.

21.5 Project Decisions

You are solely responsible for project decisions, property access, approvals, permits, inspections, financing, insurance, legal compliance, safety, and acceptance of work.

22. Additional Terms for Contractors

If you use the Platform as a Contractor, the following additional terms apply.

22.1 Contractor Responsibilities

You are solely responsible for your business operations, licenses, registrations, insurance, bonds, permits, qualifications, employees, subcontractors, suppliers, pricing, bids, taxes, compliance, safety practices, workmanship, code compliance, inspections, warranties, and project execution.

22.2 Accurate Contractor Information

You must provide accurate, current, complete, and non-misleading information regarding your business, qualifications, service areas, licenses, insurance, availability, pricing, personnel, and capabilities.

22.3 Good-Faith Preliminary Bids

Any preliminary bid you submit must be made in good faith based on the information available at the time and must not be deceptive, manipulative, bait-and-switch, artificially low, speculative, or otherwise misleading.

22.4 Independent Verification

You are solely responsible for inspecting, verifying, pricing, scoping, and contracting for any project before performing work.

22.5 Contractor Activation

BIIDIT may require Contractor Activation before you may receive homeowner contact information, maintain participation in a project, receive leads, access certain features, or continue in a workflow. Contractor Activation may include identity verification, business verification, license review, insurance review, policy acceptance, subscriptions, lead fees, payments, training, trust-and-safety review, export-control review, sanctions review, or other current or future requirements.

22.6 No Lead Ownership

You have no ownership interest, property right, entitlement, exclusivity, or guarantee in any lead, project, homeowner relationship, contact information, bid opportunity, placement, ranking, visibility, conversion, or revenue opportunity.

22.7 BIIDIT Control Over Leads and Projects

BIIDIT may condition, delay, limit, withhold, revoke, reopen, reassign, relist, suppress, cancel, or close any lead, project, bid opportunity, communication, or contact-release opportunity at any time.

22.8 Employees and Subcontractors

You are responsible for the acts, omissions, compliance, safety, and performance of your employees, subcontractors, agents, and representatives.

23. Beta Features; Experimental Services; Future Evolution

23.1 Beta and Experimental Features

BIIDIT may offer beta, pilot, experimental, preview, pre-release, limited-availability, or similar features, including AI features, APIs, enterprise products, analytics tools, automation tools, property-intelligence tools, and other services.

23.2 No Reliance on Beta or Experimental Features

Beta or experimental features may be incomplete, inaccurate, unstable, unavailable, rate-limited, modified, or discontinued at any time. You should not rely on them for legal, safety, insurance, financing, lending, engineering, construction, underwriting, permitting, qualification, or other critical decisions.

23.3 Future Evolution

BIIDIT may evolve into additional AI products, enterprise products, APIs, property-intelligence systems, automation platforms, analytics platforms, commercial tools, embedded or white-label products, integrations, data products, licensing programs, and other technologies. The rights and protections in these Terms automatically extend to those current and future offerings to the fullest extent permitted by law.

24. Third-Party Services; Public and Third-Party Data

24.1 Third-Party Services

The Platform may rely on or integrate with third-party services, including cloud hosting, AI providers, analytics providers, communications vendors, verification providers, payment processors, mapping providers, storage vendors, app stores, insurance-related providers, financing-related providers, lending-related providers, IoT providers, property-data vendors, utility-data providers, imagery providers, Base44 or other platform dependencies, and other partners.

24.2 No Responsibility for Third Parties

BIIDIT does not control and is not responsible for third-party services, content, terms, policies, data, pricing, outages, decisions, denials, approvals, shutdowns, deprecations, errors, delays, security incidents, acts or omissions, bankruptcy, insolvency, API withdrawal, model retirement, or infrastructure changes.

24.3 Public, Licensed, and Future Data Sources

BIIDIT may obtain, license, process, combine, analyze, and use information from public records, government sources, third-party providers, service providers, business partners, utilities, smart-home systems, IoT devices, sensors, connected appliances, cameras, drones, aerial imagery, satellite imagery, environmental data, weather data, infrastructure data, and other current or future connected or data-generating technologies, and may combine such information with User Content, BIIDIT Knowledge Assets, and AI Outputs to create property intelligence, marketplace intelligence, analytics, and other products, subject to applicable law and contractual restrictions.

24.4 Provider Limitations and Replacement

Certain features may depend on provider terms, licenses, restrictions, availability, infrastructure dependencies, APIs, model availability, or technical architecture. BIIDIT may modify, replace, migrate, reroute, re-architect, restrict, degrade, geofence, or discontinue features to comply with provider requirements, respond to provider failures, replace dependencies, or support operational, legal, security, or business needs.

25. Privacy

Your use of the Platform is subject to the BIIDIT Privacy Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy regarding privacy or personal information handling, the Privacy Policy controls for those privacy-specific matters.

26. Suspension; Restriction; Termination; Account Deactivation

26.1 BIIDIT Rights

BIIDIT may, with or without notice where permitted by law, investigate, suspend, restrict, deactivate, terminate, delay, suppress, remove, block, withhold, revoke, or condition access to any account, project, bid, communication, review, ranking, lead, contact information, paid service, subscription, API, AI feature, Property Profile, export, or other Platform functionality if BIIDIT reasonably believes that a user has violated these Terms, created fraud, abuse, legal, payment, security, safety, compliance, export-control, sanctions, or marketplace-integrity risk, or acted inconsistently with BIIDIT’s policies or the interests of the Platform or its users.

26.2 User Requests for Deactivation

You may request deactivation or deletion of your account through available workflows, subject to BIIDIT’s retention rights and obligations.

26.3 Effect of Termination

BIIDIT may preserve records, place legal holds, suspend deletion, maintain audit trails, and retain copies of information where BIIDIT determines that doing so is reasonably necessary or appropriate for actual or anticipated litigation, arbitration, mediation, insurance claims, warranty claims, payment disputes, chargebacks, fraud investigations, safety investigations, security investigations, regulatory inquiries, subpoenas, legal process, law-enforcement requests, preservation notices, or enforcement of these Terms.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, BIIDIT AI, AI OUTPUTS, PROPERTY PROFILES, PROPERTY INTELLIGENCE, MARKETPLACE INTELLIGENCE, CONTRACTOR INTELLIGENCE, COST INTELLIGENCE, ANALYTICS, RANKINGS, BENCHMARKS, REPORTS, APIS, ENTERPRISE FEATURES, PAID SERVICES, AND ALL RELATED PRODUCTS AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

27.2 No Warranties

BIIDIT DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, QUALITY, PERFORMANCE, RELIABILITY, AND NON-INTERRUPTION.

27.3 No Endorsement or Guarantee

BIIDIT does not create, validate, endorse, guarantee, warrant, underwrite, approve, deny, bind, issue, broker, administer, or assume responsibility for any contractor, homeowner, project, bid, estimate, recommendation, permit requirement, warranty term, insurance decision, financing decision, lending decision, underwriting decision, eligibility determination, qualification determination, pricing output, risk output, property condition, property history, project outcome, or user conduct unless BIIDIT expressly states otherwise in a separate written agreement or legally required disclosure.

27.4 No Exclusive Reliance

You acknowledge and agree that BIIDIT provides technology tools and informational outputs only. You will not rely exclusively on, and BIIDIT is not responsible for your reliance on, any AI Output, recommendation, classification, readiness assessment, risk score, ranking, benchmark, property history, Property Profile, Property Graph, Digital Property Profile, Digital Twin, Property Intelligence, Marketplace Intelligence, Contractor Intelligence, cost information, estimate, analytics output, insurance-related output, financing-related output, lending-related output, warranty-related output, permit-related output, underwriting-related output, eligibility-related output, qualification-related output, scheduling output, purchasing output, negotiation output, or other Platform output. You are solely responsible for independently verifying all information and for obtaining advice from qualified professionals where appropriate.

27.5 Regulated and Eligibility-Related Outputs

Any insurance-related, financing-related, lending-related, warranty-related, permit-related, underwriting-related, eligibility-related, qualification-related, pricing-related, risk-related, compliance-related, or similar AI Output or Platform feature is informational and assistive only. BIIDIT does not make, guarantee, underwrite, approve, deny, bind, issue, broker, administer, or determine any insurance policy, financing product, loan, credit product, warranty, permit, license, eligibility decision, underwriting decision, qualification decision, rate, premium, fee, term, condition, or regulatory approval unless BIIDIT expressly states otherwise in a separate written agreement or legally required disclosure.

28. Limitation of Liability

28.1 Excluded Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, BIIDIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR LOST-PROFIT DAMAGES, OR FOR LOSS OF REVENUE, DATA, GOODWILL, USE, BUSINESS OPPORTUNITY, LEADS, BIDS, VISIBILITY, RANKING, PROJECTS, REPUTATION, OR ANTICIPATED SAVINGS.

28.2 Specific Categories

WITHOUT LIMITING THE FOREGOING, BIIDIT WILL NOT BE LIABLE FOR DAMAGES ARISING OUT OF OR RELATING TO:

28.3 Aggregate Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, BIIDIT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, PAID SERVICES, OR USER INTERACTIONS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US$100); OR (B) THE AMOUNT ACTUALLY PAID BY THE CLAIMANT TO BIIDIT FOR THE SPECIFIC FEATURE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

28.4 Basis of the Bargain

THE LIMITATIONS IN THIS ARTICLE APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT TO THE EXTENT PROHIBITED BY LAW.

29. Indemnification

You will defend, indemnify, and hold harmless BIIDIT and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, demands, actions, investigations, liabilities, damages, losses, fines, penalties, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

BIIDIT may control the defense and settlement of any indemnified claim, and you will cooperate with BIIDIT. You may not settle any claim in a manner that imposes liability, admission, or restriction on BIIDIT without BIIDIT’s prior written consent.

30. Dispute Resolution; Arbitration; Class Action Waiver

30.1 Informal Resolution First

Before filing a claim, you and BIIDIT agree to attempt to resolve the dispute informally by sending written notice describing the claim, the facts supporting it, and the requested relief. If the dispute is not resolved within thirty (30) days after notice is received, either party may proceed as set forth below.

30.2 Agreement to Arbitrate

Except for disputes that qualify for small claims court and claims for injunctive or equitable relief to protect intellectual property, confidential information, trade secrets, data, security, Platform operations, anti-circumvention rules, or marketplace integrity, you and BIIDIT agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, BIIDIT AI, paid services, Property Profiles, User Content, BIIDIT Knowledge Assets, or interactions between users will be resolved by final and binding individual arbitration rather than in court.

30.3 Individual Proceedings Only

YOU AND BIIDIT AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MASS ACTION.

30.4 No Class or Mass Arbitration

To the fullest extent permitted by law, the arbitrator may not consolidate claims, join parties, or preside over any class, collective, representative, or mass proceeding. If this waiver is found unenforceable as to a particular claim, that claim must proceed in court and not in arbitration, unless applicable law requires otherwise.

30.5 Arbitration Procedures

The arbitration administrator, rules, location, and fee allocation may be specified in a dispute notice, supplemental dispute policy, or other legally operative BIIDIT process in effect at the time the dispute arises, subject to applicable law.

30.6 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BIIDIT WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE PERMITTED TO PROCEED IN COURT.

31. Governing Law; Venue; Injunctive Relief

31.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms, the Platform, or BIIDIT are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent preempted by federal law or prohibited by applicable law.

31.2 Venue

Subject to the arbitration provisions above, the state and federal courts located in Florida will have exclusive jurisdiction over any permitted court proceeding, and each party consents to personal jurisdiction and venue in those courts and waives objections based on inconvenient forum or improper venue.

31.3 Injunctive Relief

Nothing in these Terms limits BIIDIT’s right to seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, trade secrets, confidential information, users, data, security, Platform operations, or marketplace integrity.

32. Export Controls; Sanctions; Restricted Use

You may not access, use, export, reexport, transfer, provide, or make available the Platform, BIIDIT AI, APIs, data, software, technical information, AI Outputs, BIIDIT Knowledge Assets, Property Intelligence, Marketplace Intelligence, analytics, datasets, or other BIIDIT products or services in violation of U.S. export-control laws, U.S. sanctions laws, or other applicable trade-control laws.

You represent and warrant that you are not located in, ordinarily resident in, organized under the laws of, acting on behalf of, or owned or controlled by any person or entity located in a jurisdiction subject to comprehensive U.S. sanctions or embargoes, and that you are not identified on any restricted-party list, denied-party list, blocked-person list, or similar government list.

BIIDIT may restrict, suspend, terminate, geofence, block, disable, or condition access to any account, API, integration, dataset, AI feature, paid service, export, download, technical information, or Platform functionality where BIIDIT determines that doing so is appropriate for sanctions, export-control, trade-compliance, national-security, law-enforcement, provider-compliance, or risk-management reasons.

33. Force Majeure; Cybersecurity and Operational Emergencies

33.1 Force Majeure

BIIDIT will not be liable for any delay, failure, interruption, degradation, data loss, AI-output delay, bid delay, contact-release delay, payment delay, or inability to perform caused by events beyond BIIDIT’s reasonable control, including natural disasters, severe weather, fires, floods, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, governmental actions, legal or regulatory changes, utility failures, internet or telecommunications failures, data-center failures, cloud-provider failures, AI model or API provider failures, payment-processor failures, app-store actions, property-data-provider failures, platform-dependency failures, cyberattacks, ransomware, security incidents, denial-of-service attacks, supply-chain failures, or acts or omissions of third parties.

33.2 Cybersecurity and Operational Emergencies

BIIDIT may take any action it determines appropriate to protect users, BIIDIT, the Platform, BIIDIT AI, BIIDIT Technology, BIIDIT Knowledge Assets, data, systems, infrastructure, vendors, partners, or the marketplace during an actual or suspected cybersecurity incident, ransomware event, malware event, credential compromise, vulnerability, unauthorized access, data-integrity issue, cloud failure, infrastructure outage, denial-of-service attack, provider failure, API failure, operational emergency, or other security or reliability event. Such actions may include suspending, restricting, disabling, rate-limiting, delaying, geofencing, logging out, resetting credentials, blocking access, disabling integrations, disabling APIs, disabling AI features, restricting exports, preserving records, restoring backups, modifying workflows, changing vendors, or otherwise altering Platform functionality.

BIIDIT is not liable for losses, delays, unavailability, degraded functionality, missed bids, lost leads, contact-release delays, data-access limitations, or other consequences resulting from such protective actions, except to the extent liability cannot be limited under applicable law.

34. Changes to the Platform and Terms

34.1 Platform Changes

BIIDIT may modify, suspend, discontinue, replace, restrict, geofence, localize, limit, disable, redesign, require human review for, or charge for any part of the Platform at any time, including features, workflows, AI systems, APIs, subscriptions, analytics, property-intelligence features, enterprise features, or contact-release processes.

34.2 Regulatory and Compliance Flexibility

BIIDIT may immediately modify, suspend, restrict, geofence, localize, redesign, disable, remove, delay, rate-limit, require human review for, or discontinue any Platform feature, AI feature, AI Output, Property Profile feature, Property Intelligence feature, API, dataset, analytics product, recommendation, score, ranking, workflow, integration, paid service, enterprise tool, insurance-related feature, financing-related feature, lending-related feature, warranty-related feature, permit-related feature, underwriting-related feature, eligibility-related feature, qualification-related feature, or other product or service if BIIDIT determines that doing so is appropriate to comply with, respond to, or manage risk under any current or future law, regulation, regulatory guidance, enforcement position, industry standard, provider requirement, contractual obligation, court order, government request, safety concern, privacy requirement, AI-governance requirement, sanctions or export-control requirement, or other legal or compliance consideration.

34.3 Terms Changes

BIIDIT may update these Terms by posting revised Terms or otherwise providing notice as required by law. Unless otherwise stated, revised Terms become effective when posted. Continued access to or use of the Platform after revised Terms become effective constitutes acceptance of the revised Terms.

35. Miscellaneous

35.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms expressly incorporated by BIIDIT, constitute the entire agreement between you and BIIDIT regarding the Platform and supersede prior or contemporaneous understandings on that subject.

35.2 Order of Precedence

If there is a conflict between these Terms and supplemental terms that expressly apply to a specific product, service, subscription, API, or enterprise offering, the supplemental terms control solely for that product, service, subscription, API, or enterprise offering.

35.3 Assignment

BIIDIT may assign, transfer, delegate, sublicense, novate, or otherwise make these Terms or any rights or obligations under them available, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, restructuring, financing, bankruptcy, sale of assets, change of control, or other corporate transaction. You may not assign or transfer these Terms without BIIDIT’s prior written consent.

35.4 No Waiver

A failure or delay by BIIDIT to enforce any provision is not a waiver of future enforcement.

35.5 Severability

If any provision is found unenforceable, that provision will be enforced to the maximum extent permitted by law and the remainder of these Terms will remain in effect.

35.6 Survival

Any provision that by its nature should survive termination survives termination, including provisions relating to User Content licenses, BIIDIT Technology, BIIDIT Knowledge Assets, confidentiality, trade secrets, Property Profiles, Digital Twins, Property Graphs, Derived Intelligence, aggregated data, de-identified data, anonymized data, synthetic data, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, export controls, assignment, and miscellaneous provisions.

35.7 Electronic Communications and Notices

You consent to receive electronic communications from BIIDIT, including emails, SMS messages, in-app notices, push notifications, account alerts, legal notices, policy updates, and transactional communications.
